PLEASE READ THESE TERMS OF SERVICE CAREFULLY AND CONFIRM YOUR ACCEPTANCE BEFORE AVAILING OUR SERVICES
These Terms of Service describe the Services we will provide to you, how we will work together, and other aspects of our business relationship.
We request you to read the terms below carefully before confirming your acceptance thereof. Upon your acceptance, these Terms of Service form a legally binding agreement between you and Vectorsight. Our Services are available to you only upon your acceptance of these Terms of Service.
In case any of the terms are not acceptable to you, please do not proceed to use any of our Services. BY ACCESSING OR USING OUR SERVICES IN ANY WAY, YOU AGREE TO BE BOUND BY ALL THE APPLICABLE TERMS OF SERVICE.
We periodically update these terms, and we will let you know when we do through notification within the Vectorsight Application used to access your Subscription Services (if you have one), and by posting a revised copy on our website. You agree to review these Terms of Service on a regular basis and always remain in compliance.
1. Definitions
1.1. "Vectorsight", "we", "us" or "our"
shall mean Vectorsight Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Kmbl Mill Compound, Bethak Road, Khambhalia - 361305, Gujarat, India.
1.2. "You", "your" or "Customer"
shall mean an individual or legal entity who is signing up for any kind of Services from us, irrespective of the nature or duration of the Services. Customer's details, including name of the contracting entity and the authorized representative, are as provided in the accompanying Order Form and Subscription Agreement.
1.3. "Affiliate"
means, (i) with respect to any party other than a natural person, any other person who holds or in which such party holds 50% or more of the paid-up share capital, directly or indirectly, or is controlling, controlled by or under common control with such party; (ii) in the case of any party that is a natural person, any other person who is a relative of such party as per the provisions of the act. for the purposes of this definition, the term "control" (including with correlative meaning, the terms "controlled by" and "under common control" with) as applied to any party, (i) means the (a) ownership or possession, directly or indirectly, of more than one half of the voting power of an enterprise, or (b) control of the composition of the board of directors in the case of a company or of the composition of the corresponding governing body in case of any other enterprise, or (c) a substantial interest in voting power and the power to direct, by statute or agreement, the financial and/or operating policies of the Person; and (ii) shall include the ownership or possession, directly or indirectly, of the power to direct or cause the direction of the management of that Person whether through ownership of voting securities or otherwise.
1.4. "AI" or "Artificial Intelligence"
shall mean any combination of machine learning, deep learning, statistical, probabilistic, generative, or other computational techniques used by Vectorsight to provide the Services, including without limitation: (i) Large Language Models ("LLMs") and Small Language Models ("SLMs"), whether proprietary, open-source, or licensed from third parties; (ii) third-party AI/ML APIs, hosted model endpoints, and inference services (including those provided by hyperscalers and model providers such as OpenAI, Anthropic, Google, Meta, Mistral, AWS Bedrock, Azure OpenAI, and similar); (iii) vector databases, embedding models, and vector search/indexing systems used to store and retrieve numerical representations of data; (iv) Retrieval-Augmented Generation ("RAG") pipelines that combine retrieval over Customer Data or external knowledge sources with generative models to produce responses; (v) AI agents, multi-agent systems, orchestration frameworks, tool-use frameworks, function-calling, and autonomous or semi-autonomous workflows that plan, reason, invoke tools, or take actions on behalf of a User; (vi) fine-tuned, distilled, prompted, or prompt-engineered models, guardrails, evaluators, classifiers, rerankers, and safety filters; and (vii) any related supporting components such as data pre-processing, feature engineering, prompt templates, context windows, caches, telemetry, observability data, and model outputs. The Customer acknowledges that AI components are probabilistic in nature, may produce inaccurate, incomplete, biased, or hallucinated outputs, and that Vectorsight does not warrant any specific accuracy, reliability, or outcome from the use of any AI component, save as expressly set out in the relevant Order Form;
1.5. "Vectorsight"
refers to the company Vectorsight Technologies Private Limited.
1.6. "Billing Cycle"
shall mean a duration cycle (like month, quarter, year) for which billing is done in one go, as indicated in the Order Form;
1.7. "Consulting Services"
shall mean the professional services provided to the Customer by Vectorsight, which may include software development, software maintenance, software support services, managed services, training services, installation, integration or consulting services, the details of which shall be captured in Order Forms executed between the Parties from time to time under the terms of these Terms of Service and appended as annexures to these Terms of Service;
1.8. "Customer Data"
shall mean any information submitted to the Vectorsight Platform by the Customer;
1.9. "Disclosing Party"
shall have the meaning set out in Clause 6.1.1;
1.10. "Dues"
shall mean unpaid invoiced amount and unbilled amount as per the terms of the Order Form.
1.11. "Effective Date"
shall mean the date of your acceptance of these Terms of Service;
1.12. "Force Majeure"
shall mean an act of war, hostility, sabotage, act of God, epidemic, pandemic, electrical, internet or telecommunication outage, cyber-attacks, government or regulatory restrictions, change in law applicable to the Services or any other event outside the reasonable control of Vectorsight, that adversely affects the provision of Services;
1.13. "Vectorsight"
shall mean the suite of applications available at "https://vectorsight.tech/ any of its sub-domains or any other URL/location made available by Vectorsight;
1.14. "Order Form"
shall mean the form submitted by you, with your details and the Services opted by you, with relevant Service terms, pricing and payment terms being set out accordingly. Separate Order Forms may be submitted for different Subscription Services and Order Forms may be updated or modified from time to time with mutual consent;
1.15. "Person"
means any natural person, sole proprietorship, corporation, partnership, limited liability company, firm, joint venture, association, joint-stock company, trust, unincorporated organization, governmental entity, or any other entity
1.16. "Planned Downtime"
shall mean the period during which the Services may be shut down for planned maintenance of the Vectorsight. To the extent possible and reasonable, such downtime will be scheduled during non-business hours for majority of Vectorsight's customers such as weekends and public holidays and at least 24 (twenty-four) hours' prior notice will be provided;
1.17. "Receiving Party"
shall have the meaning set out in Clause 6.1.1;
1.18. "Service Fees"
shall mean the amounts the Customer is required to pay for using any of the Services;
1.19. "Services"
shall collectively mean the Subscription Services and the Consulting Services provided by Vectorsight to Customer;
1.20. "Start Date"
shall mean the date of commencement of the Subscription Services;
1.21. "Subscription Fees"
shall mean the fees payable by the Customer for the Subscription Services;
1.22. "Subscription Services"
shall mean the provisions of access to the Vectorsight Platform as per the scope, limits, and features that the Customer has subscribed to, as captured in the relevant Order Form;
1.23. "Subscription Term"
shall mean the initial term of the Subscription Services commencing from the Start Date, as specified in the relevant Order Form, and each subsequent renewal term (if any); and
1.24. "Users"
mean individuals authorized by Customer to access Subscription Services.
2. Acceptable Use
You agree not to:
- Violate applicable laws
- Attempt unauthorized access to systems or services
- Interfere with website functionality
- Upload malicious code or harmful content
- Misrepresent your identity or affiliation
- Use website content without authorization
3. Intellectual Property
All website content, including text, graphics, branding, logos, designs, software, and documentation, is owned by or licensed to Vectorsight and is protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, modified, or republished without prior written permission.
4. Outcome-Based Pricing
Vectorsight may offer outcome-based commercial models that align fees with measurable business outcomes rather than billable hours.
Any examples, case studies, savings estimates, ROI calculations, productivity improvements, or performance gains displayed on this website are illustrative unless expressly documented in a signed agreement.
Actual results may vary depending on customer participation, data quality, infrastructure, adoption, operational processes, and other factors beyond our control.
5. Artificial Intelligence Services
Vectorsight provides AI consulting, implementation, automation, managed AI services, AI agents, machine learning solutions, and related technologies.
Artificial Intelligence systems are probabilistic technologies and may generate inaccurate, incomplete, misleading, biased, offensive, inappropriate, unlawful, or otherwise unexpected outputs.
Customers acknowledge that AI systems may not always perform as expected and that outputs should be independently reviewed before use.
6. Third-Party AI Technologies
Solutions delivered by Vectorsight may utilize third-party AI technologies, including Large Language Models (LLMs), Small Language Models (SLMs), foundation models, APIs, cloud AI services, and open-source models.
Vectorsight does not own, train, control, or operate the internal behavior, training data, content generation processes, or safety mechanisms of third-party AI models unless expressly stated in writing.
7. Customer Responsibility
Customers remain solely responsible for:
- Reviewing and validating AI-generated outputs
- Business decisions made using AI systems
- Compliance with applicable laws and regulations
- Internal approvals and governance processes
- Human oversight of AI-generated content
- Operational use of deployed AI solutions
AI-generated outputs should not be relied upon as the sole basis for legal, financial, medical, regulatory, employment, safety-critical, or compliance-related decisions.
8. Disclaimer of AI Outputs
To the fullest extent permitted by law, Vectorsight shall not be responsible for any content, output, recommendation, prediction, classification, response, image, code, or decision generated by third-party AI systems.
This includes, without limitation:
- Inaccurate or misleading information
- Hallucinations and factual errors
- Biases or unintended model behavior
- Offensive content
- Adult content or nudity
- Violent or hateful content
- Copyright-infringing content
- Regulatory or compliance violations
- Service interruptions or model failures
9. Limitation of Liability
To the fullest extent permitted by law, Vectorsight shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from:
- Use of the website
- Use of AI-generated outputs
- Decisions made based on AI-generated outputs
- Third-party AI technologies
- Business interruption
- Loss of profits
- Loss of revenue
- Loss of customers
- Loss of opportunities
- Loss of data
- Reputational harm
Customers acknowledge that all business, legal, financial, operational, and compliance decisions remain their sole responsibility.
Where liability cannot be excluded by law, Vectorsight's total aggregate liability shall not exceed the fees paid to Vectorsight during the twelve (12) months immediately preceding the event giving rise to the claim.
10. Third-Party Services
Vectorsight may utilize third-party software, cloud platforms, APIs, infrastructure providers, and open-source technologies.
Vectorsight is not responsible for outages, failures, pricing changes, policy changes, security incidents, or actions attributable to third-party providers.
11. Confidentiality
11.1. Confidential Information
11.1.1. In the course of providing or receiving the Services, either party (the "Disclosing Party") may disclose to the other party (the "Receiving Party") information that is non-public, proprietary or confidential in nature, whether disclosed orally, in writing, electronically or by any other means, and whether or not marked or identified as "confidential" ("Confidential Information"). Confidential Information includes, without limitation, business plans, customer and prospect information, Customer Data, technical information, source code, algorithms, models, architecture, pricing, Order Forms, security practices, employee information, and any other information that a reasonable person would consider confidential under the circumstances.
11.2. Obligations of the Receiving Party
The Receiving Party shall: (i) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms of Service; (ii) protect the Confidential Information using at least the same degree of care it uses to protect its own confidential information of a similar nature, and in no event less than a reasonable standard of care; (iii) not disclose Confidential Information to any third party except to its employees, Affiliates, contractors, advisors and sub-processors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than those set out herein; and (iv) not copy, reverse engineer, or use the Confidential Information to develop competing products or services.
11.3. Exclusions
Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure, without an obligation of confidentiality; (iii) is rightfully obtained from a third party without restriction on disclosure; or (iv) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
11.4. Compelled Disclosure
The Receiving Party may disclose Confidential Information to the extent required by applicable law, regulation, court order, or other governmental or regulatory authority, provided that, where legally permitted, the Receiving Party gives the Disclosing Party prompt prior written notice and reasonable assistance, at the Disclosing Party's cost, to seek a protective order or other appropriate remedy.
11.5. Return or Destruction
Upon termination of these Terms of Service or upon the Disclosing Party's written request, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all Confidential Information in its possession or control, and certify such destruction in writing, subject to retention required by applicable law or routine back-up policies (which shall remain subject to the confidentiality obligations of this Clause).
11.6. Survival
The obligations under this Clause 11 shall survive termination of these Terms of Service for a period of 5 (five) years, except with respect to trade secrets and Customer Data, in respect of which the obligations shall continue for as long as such information remains a trade secret or Customer Data under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Vectorsight, its directors, employees, contractors, and affiliates from any claims, liabilities, losses, damages, costs, or expenses arising from:
- Your use of the website or services
- Your use of AI-generated outputs
- Violation of these Terms
- Violation of applicable laws
- Infringement of third-party rights
12.1. Mutual Indemnity
Either party shall defend, indemnify and hold the other party harmless against any loss, damage or costs (including reasonable attorneys' fees) incurred in connection with claims, demands, suits, or proceedings made or brought against the other party: (i) due to breach of the representation and warranties set forth in these Terms of Service; (ii) by a third party alleging that the use of the Services as contemplated hereunder infringes the intellectual property rights or data privacy rights of such third party; provided that the indemnified party (a) promptly gives written notice of the claim to the indemnifying party; (b) gives the indemnifying party control of the defense and settlement of the claim (provided that the indemnifying party may not settle any claim unless it unconditionally releases the indemnified party of all liability); and (c) provides to the indemnifying party, at the indemnifying party's cost, all reasonable assistance.
13. Termination
Vectorsight may suspend or terminate access to the website or services at any time if these Terms are violated or if continued access creates legal, operational, or security risks.
14. No Refund Policy & Outcome Disclaimer
No Refunds on Termination by Customer: In the event that the Customer terminates the engagement, Order Form, Subscription Services, or Consulting Services for any reason whatsoever, all Service Fees, Subscription Fees, and any other amounts already paid to Vectorsight shall be strictly non-refundable. Any Dues outstanding as of the date of termination shall remain immediately payable by the Customer.
No Guarantee of KPIs or Outcomes: While Vectorsight will use commercially reasonable efforts to deliver the Services in line with the goals, KPIs, or outcomes discussed with the Customer, the Customer expressly acknowledges and agrees that the achievement of any specific KPI, target, business result, or outcome depends on multiple factors that are outside Vectorsight's reasonable control. These factors include, without limitation, the quality, completeness and timeliness of Customer Data, the Customer's internal processes, decisions, adoption, change management, market conditions, regulatory changes, third-party systems, model behaviour, and the actions or inactions of the Customer and its personnel, Affiliates, and vendors.
Accordingly, Vectorsight makes no representation, warranty, or guarantee regarding the attainment of any specific KPI, performance metric, financial result, or business outcome. Failure to achieve any particular KPI or outcome shall not constitute a breach of these Terms of Service or any Order Form by Vectorsight and shall not entitle the Customer to any refund, credit, set-off, fee reduction, or damages of any kind.
In any case and under all circumstances, no refund of any Service Fees, Subscription Fees, or other amounts paid to Vectorsight shall be made.
15. Payment Terms
Advance Payment: Unless otherwise expressly agreed in the relevant Order Form, the Customer shall pay 60% (sixty percent) of the total Service Fees, Subscription Fees, or Consulting Fees as an advance payment upon execution of the Order Form or prior to the commencement of the Services, whichever is earlier.
The remaining 40% (forty percent) shall be payable as per the milestones, billing schedule, or payment terms set out in the applicable Order Form. All payments are exclusive of applicable taxes, which shall be borne by the Customer. Any delay in advance payment may, at Vectorsight's sole discretion, result in deferment or suspension of the Services without liability to Vectorsight. All amounts paid, including the advance, are non-refundable in accordance with the No Refund Policy set out in these Terms.
16. Commencement of Work
Notwithstanding anything to the contrary, Vectorsight shall commence the Services only after a period of 5 (five) working days from the date of actual receipt and realization of the advance payment in Vectorsight's designated bank account. Any project timelines, milestones, or delivery dates shall be computed from such commencement date, and Vectorsight shall not be liable for any delay attributable to late receipt of the advance.
17. Third-Party Costs
The Service Fees, Subscription Fees, and Consulting Fees do not include the cost of any third-party products, services, or infrastructure required for or used in connection with the Services, including without limitation cloud hosting and compute (e.g., AWS, Azure, GCP), LLM and SLM API usage, third-party AI/ML APIs, vector databases, managed databases, data storage, networking, observability tools, software licenses, plugins, connectors, and any other third-party subscriptions or pass-through charges. All such costs shall be borne solely by the Customer, either by procuring and paying for them directly in the Customer's own accounts, or by reimbursing Vectorsight at actuals (plus applicable taxes) where Vectorsight procures them on the Customer's behalf.
18. Governing Law
These Terms shall be governed by the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
20. Prohibited Use
You shall not use this Site to:
- engage in any unlawful, fraudulent, harmful, or deceptive activity;
- upload, transmit, or distribute viruses, malware, trojans, worms, or any code designed to damage, disable, or impair any system or network;
- attempt to gain unauthorised access to any part of the Site, its servers, or connected systems through hacking, password mining, or any other means;
- interfere with or disrupt the integrity, performance, or availability of the Site;
- publish, post, or transmit any content that is defamatory, obscene, offensive, unlawful, or infringes the intellectual property or privacy rights of any third party;
- collect or harvest any personally identifiable information of any other user of the Site;
- impersonate Vectorsight or any other person or entity, or falsely represent your affiliation with any person or entity;
- use the Site for unsolicited commercial communications (spam); or
- facilitate or encourage any third party to do any of the above.
21. Automated Access & AI Prohibition
You are expressly prohibited from using any automated tool, script, bot, spider, scraper, crawler, agent framework, or similar technology — including but not limited to AI model training tools, large language model data harvesters, or Model Context Protocol (MCP)-based agents — to access, extract, copy, monitor, or mine any Content or data from this Site, except where Vectorsight has given express prior written permission.
Standard search engine crawling of publicly accessible pages for routine web indexing is permitted.
22. Third-Party Links
This Site may contain links to third-party websites as a convenience to users. Such links do not constitute an endorsement, sponsorship, or affiliation by Vectorsight with the linked site or its operators. Vectorsight has no control over, and accepts no responsibility for, the content, privacy practices, or availability of any third-party website. Your access to and use of any linked site is entirely at your own risk and subject to the terms of that site.
23. Force Majeure
Vectorsight will not be liable for any failure or delay in the operation of the Site, or in the performance of any obligation under these Terms, that is caused by an event beyond its reasonable control, including without limitation acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, governmental action, failure of telecommunications or internet service providers, power failure, cyber-attack or industrial action.
